Schneider Electric to Acquire PTC for $22.6 Billion, Expanding Industrial AI Software Portfolio
Schneider Electric SE has announced an all-cash deal to acquire U.S. software company PTC for approximately $22.6 billion, at $205 per share, representing a premium of more than 40% over PTC's last closing price. The transaction is expected to close in the third quarter of 2027, with bridge loan financing arranged by Morgan Stanley and Societe Generale.
PTC provides software solutions for product design, manufacturing and service across multiple industries, and has benefited from growing demand for its artificial intelligence tools. Schneider Electric said the acquisition will strengthen its industrial software and AI-enabled offerings, aligning with the broader trend of European manufacturers adopting AI to improve productivity and streamline operations.
In recent months, Schneider has pursued several acquisitions to support its growth strategy. In June 2026, it agreed to acquire Cognite for $3.1 billion in cash, and in September 2026 it announced a €1.2 billion deal to acquire Bulgarian smart home device maker Shelly Group SE. The company's CEO has stated that while organic growth remains the priority, Schneider will consider acquisitions when attractive tech companies can help accelerate its strategy.
Over the past 12 months, PTC's shares have fallen about 30%, giving the company a market value of roughly $15.6 billion. Bloomberg previously reported that Autodesk explored acquiring PTC in July 2025 but eventually abandoned the deal. Morgan Stanley is acting as lead financial adviser to Schneider Electric, while Evercore is advising PTC.
